Software License Agreement

End User License Agreement (EULA) applicable to software provided by Akrocard 2000 S.L.

Definitions

"Device": Any device that accepts information in digital format, including PCs, laptops, mobile phones, smartphones, PDAs, and tablets.
"Akrocard": Akrocard 2000 S.L., with offices at Polígono II-A sector industrial y servicios portuarios, nave 1, 17253 Vall-llobrega (Girona), Spain.
"Services": The services provided alongside the Software, including password manager, file storage, and digital certificate storage.
"Software": All contents of the files and media with which this Agreement is provided, including computer data, documentation, and updates.
"Use": To access, install, download, copy, or otherwise benefit from the Software or the Services.

1. Acceptance

PLEASE READ THIS AGREEMENT CAREFULLY. BY CLICKING THE "ACCEPT" BUTTON, OR BY DOWNLOADING OR INSTALLING THE SOFTWARE, YOU AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN CONTRACT SIGNED BY YOU. If you are an individual, you must be at least 18 years of age, or the age of majority in your state, province, or country of residence, to enter into this Agreement.

2. License Grant

Akrocard grants you a non-exclusive license to download, install, and use the Software in accordance with the terms and conditions of this Agreement. The Software is licensed, not sold. You are not permitted to sell, lease, sublicense, rent, lend, resell, or transfer the Software or the Services in any way.

3. Proprietary Rights

The Software is protected by copyright law in Spain and other countries, international treaties, and other applicable laws. Akrocard and its suppliers own and retain all rights, title, and interest in and to the Software, including all copyrights, patents, trade secrets, and trademarks.

4. Warranty and Disclaimer

Limited Warranty: Akrocard warrants that for thirty (30) days from the original compilation date, the version of the Software will perform substantially as described in the Documentation. EXCEPT FOR THE LIMITED WARRANTY SET FORTH IN THIS DOCUMENT, THE SOFTWARE IS PROVIDED "AS IS" AND AKROCARD MAKES NO WARRANTY REGARDING ITS USE OR PERFORMANCE.

5. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL AKROCARD OR ITS SUPPLIERS BE LIABLE TO YOU FOR LOSS OF PROFITS, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. IN NO EVENT SHALL AKROCARD OR ITS SUPPLIERS BE LIABLE FOR DAMAGES EXCEEDING THE AMOUNT PAID FOR THE SOFTWARE, IF ANY.

6. License Restrictions

Akrocard reserves the right to terminate this Agreement if you attempt to reverse-engineer, disassemble, or decompile the Software; provide false information or attempt to gain unauthorised access; use the Services to track or monitor the location of individuals without their authorisation; reproduce, duplicate, or exploit the Services for unauthorised commercial purposes; or transmit illegal, threatening, abusive, or fraudulent content.

7. Accounts, Passwords, and Security

You are responsible for maintaining the security of your password and are solely responsible for all activity that occurs under your username. If you lose your account password or encryption key, you may be unable to access your data.

8. High-Risk Activities

The Software is not fault-tolerant and is not designed for use in hazardous environments requiring fail-safe operation, including the operation of nuclear facilities, aircraft navigation, air traffic control, weapons systems, or direct life-support machines.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the substantive laws in force in the province of Girona, Spain. This Agreement shall not be governed by the conflict-of-law rules of any jurisdiction, nor by the United Nations Convention on Contracts for the International Sale of Goods.

10. Privacy

By entering into this Agreement, you accept that Akrocard's privacy policy, as updated from time to time, applies to you. The most recent privacy policy is available on Akrocard's website.

This Agreement sets out all the rights available to you regarding the Software and Documentation, and constitutes the entire understanding between the parties. It supersedes all prior communications, representations, and advertising relating to the Software and Documentation.
